Merger and Share Exchange. Means the merger of a wholly-owned Subsidiary of the Debtor with and into Global, pursuant to which each share of the remaining equity securities of Global not acquired by the Debtor in the Share Purchase will be converted into the same number of shares of Common Stock as in the Share Purchase, and after giving effect to such merger the shareholders of Global immediately prior to the Share Purchase and such merger will own, on a fully-diluted basis following completion of the Share Purchase and... such merger, not less than 97% of the Debtor's common equity.
