Merger

Merger. Means the closing of the acquisition of 100% of the issued and outstanding capital stock of Towerstream I, Inc. (f/k/a Towerstream Corporation) (the "Towerstream Subsidiary"), a Delaware corporation, by the Company pursuant to that certain Agreement of Merger and Plan of Reorganization among the Company (f/k/a University Calendar Girls, Ltd.), Towerstream Acquisition, Inc. and the Towerstream Subsidiary, of even date herewith. -12-

Merger. Means the merger of MSG WC Acquisition Corp., a Delaware corporation and wholly-owned subsidiary of the Company (the "Merger Sub"), into Mobile Services Group, Inc., a Delaware corporation ("MSG"), according to the terms of the Agreement and Plan of Merger, dated as of May 24, 2006 and amended as of June 9, 2006, by and among the Company, the Merger Sub, MSG and Windward Capital Management, LLC, a Delaware limited liability company.

Merger. Shall mean the merger of iTurf Merger Sub with and into dELiA*s with dELiA*s as the surviving corporation pursuant to the terms of the iTurf Merger Agreement.

Merger. Means the merger of Phone.com, Inc. with Software.com, Inc. which was approved by the stockholders of each of the respective companies on November 17, 2000.

Merger. Means the merger of CapStar Hotel Company ("CapStar") with and into MSH pursuant to the Agreement and Plan of Merger among CapStar, MSH, the MSH OP and the other parties specified therein, dated March 15, 1998.

Merger. Means the merger of Marquee Inc. with and into AMCE pursuant to the Merger Agreement.

Merger. Has the meaning set forth in 2(a) below.

Merger. Has the meaning set forth in the preamble.

Merger. Means the statutory merger of Newco with and into Toymax and the related transactions provided for herein.

Merger. Means the statutory merger of TI Subsidiary with and into Toymax, as contemplated under the Merger Agreement.
