MFN Transaction. Means a transaction in which the Company issues or sells any securities to an investor (the "New Investor") in a capital raising transaction or series of related transactions (the "New Offering") which grants to the New Investor the right to receive additional securities based upon future capital raising transactions of the Company on terms more favorable than those granted to the New Investor in the New Offering.
MFN Transaction.
