Milestone Settlement Shares

Milestone Settlement Shares. A number of Ordinary Shares equal to the quotient obtained by dividing (A) the Milestone Amount expressed in NIS (based on the Exchange Rate as of the Business Day immediately prior to the date hereof) by (B) the Agreed PPS, with fractional shares rounded up to the nearest whole share; subject to adjustment in the case of split, reclassification, dividends and the like as more fully detailed herein if occurs following the date hereof.
