Monthly Retainer Amount

Monthly Retainer Amount. For purposes of this Agreement, the term "Monthly Retainer Amount" shall mean, subject to increase (but not any decrease) pursuant Section 6, one-twelfth of any and all compensation (excluding only the reimbursement for 3 expenses of the type referred to in Section 5(c)) and benefits of any and all types and kinds whatsoever received by the Executive from the Company during the year immediately prior to the Change in Control of the Company.
