Motley Tax Redemption

Motley Tax Redemption. Any redemption of Equity Interests of the Company (that have been issued as consideration in connection with the Motley Acquisition) in accordance with the Motley Acquisition Agreement and related share purchase agreements in order to pay the recipient's income tax liability with respect to the issuance of such Equity Interests.
