Net Indebtedness
Net Indebtedness. Means the amount, as of the Closing Date, of Shareholder Indebtedness minus the amount of any trade payable and other amounts owed by IFS or any of its Affiliates (other than the Target and the Subsidiary) to the Target and the Subsidiary.
