Net Invoice Price. The amount invoiced, billed, or received by or on behalf of VICAL, its Affiliated Companies, or their Designees on account of the sale, transfer or other disposition of Licensed Products to Third Parties in any arms-length transaction, less reasonable, customary and documented deductions applicable to the Licensed Products.
