New Parent. The Person that is identified by the Borrower to the Administrative Agent as New Parent pursuant to Section 8.01(t); provided that such Person shall either be (a) the General Partner or (b) any other Person that is organized under the laws of the United States of America or any state thereof that Controls the Borrower and is acceptable to the Majority Lenders in their sole discretion.
