New Registrable Securities. Means (i) the Initial Securities and (ii) any shares of capital stock issued or issuable from time to time (with any adjustments) in exchange for or otherwise with respect to the Initial Conversion Shares or the Initial Warrant Shares, including as a result of any share split, share dividend, recapitalization, exchange or similar event or otherwise, without regard to any limitations on conversions of the Initial Preferred Shares or exercise of the Initial Warrants. 3 (K) "1933 Act"... means the Securities Act of 1933, as amended, and the rules and regulations promulgated by the SEC thereunder.
