Example Definitions of "New Technology"
New Technology. Shall not include any and all Source Code, programmers' documentation, specifications, and other design documentation, intellectual property, copyrights, patents as well as all derivative works and modifications thereof, developed prior to the date of this Agreement or conceived or made on or after the effective date of this Agreement for third parties who are not a party to this Agreement .
New Technology. Means any inventions or claims thereof Controlled by a Party, which constitute advancements, developments, or improvements made after the Effective Date, whether or not patentable and whether or not the subject of any patent application, which are not entirely supported by the original specification, and are not entitled to the priority date, of a patent application or patent contained within Phenomix Licensed Patent Rights.
New Technology. (i) replacements, improvements, enhancements or modifications to the Technology and Patent Rights, (ii) new inventions and discoveries for the construction and operation of the Ethanol Plant, the manufacture of the Licensed Products and/or use of the Licensed Methods, and (iii) technology in research, development, or testing stage, and technology to be researched, developed or tested by Licensor subsequent to the date of the License Agreement, and (iv) any processes, systems, diagrams,... information, balances, blueprints, configurations, manuals, videotapes or any other proprietary rights, patents, trademarks, copyrights, trade secrets, formulas, research data, know-how, process control systems, software certifications and specifications and other technology that is not part of the Technology and Patent Rights. New Technology. Any Results, Services Work Product and/or any Intellectual Property Rights that directly result from or are conceived or reduced to practice during or after the Term by Tallac or its Suppliers in performance of the Services
