Example Definitions of "Newly Developed IP"
Newly Developed IP. Means (i) all Intellectual Property that is Developed during the Term as a result of the activities conducted pursuant to the Collaboration by one or more AMS Personnel, on the one hand, and one or more MRI Personnel, on the other hand, without regard as to the relative percentage contribution of the Personnel of either Party and without regard as to whether such contributions are made at the same time or at different times and whether the contributions are made by the Personnel of each Party... in the same or different physical location, or on a remote basis, and (ii) any Intellectual Property that is (1) Developed, during the Term as a result of the activities conducted pursuant to the Collaboration, by either Party's Personnel, without contribution from the other Party's Personnel, and (2) arises from activities conducted pursuant to the Collaboration as described in this Agreement or an applicable SOW.
