No-Fault Termination

No-Fault Termination. Any termination of Executive's employment by the Company (other than a termination for Cause) or Executive (other than resignation for Good Reason) prior to the Initial Closing (as defined in that certain Executive Purchase Agreement, dated as of the date hereof, by and between Holdings and Executive) and after the No-Fault Termination Date.
