Non-Nominating Seller Party. Means a Seller Party which, together with its Affiliates, fails to beneficially own at least five percent (5%) of the Company's outstanding Common Stock as of any date following the Effective Date (subject in all cases to Section 3.1(C) and (D) hereof).
