NonChange in Control Termination

NonChange in Control Termination. Shall mean that either (i) the Executive's employment is terminated by the Corporation and the termination is not a Just Cause Termination and is not by reason of the Executive's death or disability, or (ii) the Executive terminates his or her employment with the Corporation by resignation following a Constructive Discharge, and, in either event, no Change in Control has occurred prior to such termination or resignation.

NonChange in Control Termination. Means an Involuntary Termination Without Cause other than on or within the 12 month period immediately following a Change in Control.
