Nonparticipating Director

Nonparticipating Director. Shall mean any Director who satisfied both of the following conditions: (i) the Director had five years of Continuous Service under the Retirement Plan for Outside Directors as of May 11, 2005; and (ii) the Director elected, at the time and in accordance with procedures established by the Board, to not participate in this Plan.
