Nonqualified Termination

Nonqualified Termination. Executive's "Nonqualified Termination" shall occur upon the earliest of her (i) Separation from Service by reason of the Company's or Parent's termination of her employment for Cause, or (ii) her Separation from Service by reason of Executive's voluntary termination of her employment for reasons other than death, Disability or Good Reason.
