NonSurviving Combination

NonSurviving Combination. Shall mean any merger, consolidation or other business combination between the Corporation and one or more other Persons which is not a Surviving Combination, or a sale of all or substantially all of the assets of the Corporation and its subsidiaries, taken as a whole, to one or mores such other Persons.
