Example Definitions of "NonSurviving Event"
NonSurviving Event. Means the occurrence of one or both of the following: (i) the merger or consolidation of the Company with any Person, whether effected as a single transaction or a series of related transactions, with (A) the Company not being the continuing or surviving entity of that merger or consolidation or (B) the Company remaining the continuing or surviving entity of that merger or consolidation but all or a part of the outstanding shares of stock are... changed into or exchanged for stock or other securities of any other Person or the Company, cash, or other property; or (ii) the transfer, directly or indirectly, of all or substantially all of the assets of the Company (whether by sale, merger, consolidation, liquidation, or otherwise) to any Person, whether effected as a single transaction or a series of related transactions.
