Noteholder Debt. Shall mean all obligations, liabilities and indebtedness of every kind, nature and description owing by Borrower to Note Trustee or any Noteholder, including principal, interest, charges, fees, premiums, indemnities and expenses, however evidenced, whether as principal, surety, endorser, guarantor or otherwise, evidenced by or arising under or in connection with the Noteholder Agreements, whether now existing or hereafter arising, whether arising before, during or after the initial or any... renewal term of the Noteholder Agreements or after the commencement of any case with respect to Borrower under the Bankruptcy Code or any similar statute (including, without limitation, any principal, interest, fees, costs, expenses and other amounts, whether or not such amounts are allowable in whole or in part, in any such case or similar proceeding), whether direct or indirect, absolute or contingent, joint or several, due or not due, primary or secondary, liquidated or unliquidated, secured or unsecured, and whether arising directly or howsoever acquired by Note Trustee or such Noteholder. Noteholder Debt. The aggregate outstanding principal amount of the New Secured Notes, plus accrued interest.
Noteholder Debt. All note holder debt of Company to certain Creditors described in that certain Stock Purchase and Redemption Agreement, Promissory Notes and Security Agreements dated September 1, 2014 by and between Wala Inc., d/b/a Arcmail Technology, Rory Welch and those entities and/or individuals listed in the Stock Purchase and Redemption Agreement, Promissory Notes and Security Agreements, (the "Noteholders") as set forth on Schedule 3.20.
