NOTICED EVENT OF DEFAULT. Shall mean (i) an Event of Default under Section 9.01 or 9.05 of the Credit Agreement and (ii) any other Event of Default in respect of which the Pledgee has given the Borrower notice that such Event of Default constitutes a "Noticed Event of Default".
