November 2011 Offering. Means that certain private offering that commenced in November 2011 and that expired on March 1, 2012 pursuant to which the Grantor offered an aggregate amount of $2,500,000 of units of the Grantor's securities on a "best efforts" basis, with each unit consisting of one Convertible Senior Subordinated Secured Note in the principal amount of $25,000 and one (1) Series A Common Stock Purchase Warrant.
