OPTION RETURN AMOUNT. Means, on any date of determination thereof, the sum of (i) $2,400,000 plus (ii) the product of $500,000 multiplied by a fraction, the numerator of which is the number of days elapsed from and including the Closing Date to but excluding such date of determination and the denominator of which is 365.
