Original Cost

Original Cost. The price paid therefor (in each case, as proportionally adjusted for all share splits, share dividends and other recapitalizations affecting such ordinary share subsequent to any such purchase)

With respect to (i) shares of Preferred Stock and Invesco Preferred Stock shall be equal to $1,000 per share and (ii) shares of Common Stock shall be equal to $2,275 per share (in each case as adjusted for stock splits, stock dividends or other recapitalizations occurring after the date hereof).
