Outside Director

Outside Director. Shall mean a Director who: (a) is not a current employee of the Corporation or any member of an affiliated group which includes the Corporation; (b) is not a former employee of the Corporation who receives compensation for prior services (other than benefits under a tax-qualified retirement plan) during the taxable year; (c) has not been an officer of the Corporation; and (d) does not receive remuneration from the Corporation, either directly or indirectly, in any capacity other than as a... Outside Director. Shall mean a member of the Board of Directors who is treated as an "outside director" for purposes of Code Section 162(m).

Outside Director. Shall have the meaning as the term is used in Section 162(m) of the Code and defined in Treasury Regulation 1.162-27, as amended from time to time.

Outside Director. Shall mean a Director who is not an Employee of the Company and does not receive compensation from the Company or a parent or subsidiary of the Company for services rendered as a consultant or in any capacity other than as a Director.

Outside Director. Shall mean a person who is a director of the Company, but on the date of grant is not an employee of, or consultant to, the Company, any of its Subsidiaries or a Parent.

Outside Director. Means a member of the Board who is not a current employee of the Company (or a related entity), is not a former employee who is receiving compensation for prior services (other than benefits under a tax-qualified retirement plan), was not an officer of the Company at any time, and is not currently receiving remuneration, either directly or indirectly, in any capacity other than as a director.

Outside Director. Means a Director who is not an Employee (as defined in Rule 16b-3 of the Exchange Act and Section 162(m) of the Code).
