Outside Director

Outside Director. Shall have the meaning as provided in Code Section 162(m), Treasury Regulation §1.162-27(e)(3) or any successor statute or regulation promulgated thereunder.

Outside Director. As defined in the Outside Director Compensation Policy adopted by the Board, as may be amended from time to time.

Outside Director. Shall have the meaning set forth in Section 162 of the Code or the successor to that Section and any regulations promulgated under that or the successor to that Section.

Outside Director. A member of the Board of Directors who is not an Employee

Outside Director. A member of the Board of Directors of the Company who, as of the close of business on the date of the annual meeting of stockholders of the Company, is not an employee of the Company or any subsidiary of the Company. For the purposes hereof, a "subsidiary" of the Company shall mean any corporation, partnership or other entity in which the Company owns, directly or indirectly, an equity interest of 50% or more.

Outside Director. A Director who is considered an outside director within the meaning of Section 162(m) of the Code

Outside Director. Any Director who, on the date such person is to receive a grant of an Option or Restricted Shares hereunder is not an employee of the Company or any of the Company's subsidiaries

Outside Director. A person defined in proposed Regulation 1.162-27 (e)(3) promulgated under the Internal Revenue Code, or any successor definition adopted.

Outside Director. Means a director of the Company or an Affiliate who is not an Employee.

Outside Director. A Director who meets the definition of both a "Non-Employee Director" (as defined in Rule 16b-3 of the Exchange Act) and "Outside Director" (as defined in Section 162(m) of the Code)
