Parity Securities

Parity Securities. Means Capital Stock that, with respect to dividends or distributions upon Liquidation, is pari passu with the Series B Preferred Stock.

Parity Securities. Means any class or series of Capital Stock that, with respect to dividends or distributions upon Liquidation, is pari passu with the Series C Preferred Stock, including the Series B Preferred Shares (as defined in the Prior Agreement).

Parity Securities. Means the Series B Preferred Stock and each other class of capital stock or Preferred Stock of the Company established hereafter by the Board of Directors of the Company, the terms of which expressly provide that such class or series will rank on a parity with the Series A Preferred Stock as to rights on dividends, liquidation, winding-up and dissolution.

Parity Securities. Means each class of Capital Stock or series of preferred stock issued by the Issuer, which is established after the date of this Certificate of Designation by the Board of Directors of the Issuer, the terms of which expressly provide that such class or series will rank on a parity with the Preferred Stock as to dividend distributions and distributions upon a Liquidation Event.

Parity Securities. Means the Series B Preferred Stock (which ranks pari passu with the Series C Preferred Stock with respect to both dividends and distributions upon Liquidation) and any other class or series of Capital Stock that, with respect to dividends or distributions upon Liquidation, ranks pari passu with the Series C Preferred Stock.

Parity Securities. Shall have the meaning set forth in paragraph 3(b) hereof.

Parity Securities. Any class or series of Capital Stock of the Company, if any, ranking on a parity with the Series A Preferred Stock as to the payment of dividends and as to rights in liquidation, dissolution or winding up of the affairs of the Company.

Parity Securities. Means any class or series of Capital Stock that, with respect to dividends or distributions upon Liquidation, is pari passu with the Series A-1 Preferred Stock and shall include, without limitation, all Series A-1 Preferred Stock issued pursuant to the Agreement.

Parity Securities. Means all equity securities of the Company to which the Preferred Stock ranks on a parity with, whether with respect to dividends or upon liquidation, dissolution, winding up or otherwise.

Parity Securities. Shall have the meaning set forth in the Buyer Certificate of Designation
