Parity Stock

Parity Stock. Means any class or series of stock of the Issuer (other than Designated Preferred Stock) the terms of which do not expressly provide that such class or series will rank senior or junior to Designated Preferred Stock as to dividend rights and/or as to rights on liquidation, dissolution or winding up of the Issuer (in each case without regard to whether dividends accrue cumulatively or non-cumulatively).

Parity Stock. Shall mean the Series C Preferred Stock as well as any class of capital stock or series of preferred stock established by the Board of Directors after the Issue Date, the terms of which expressly provide that such class or series will rank on parity with the Series D Preferred Stock as to dividend rights or rights upon the liquidation, winding-up or dissolution of the Corporation.

Parity Stock. Means the Series B Preferred Stock and any other class or series of capital stock of the Corporation ranking on a parity with the Series A-1 Preferred Stock both as to dividends and as to distributions upon a liquidation, dissolution or winding up of the Corporation.

Parity Stock. Shall mean any class or series of Capital Stock authorized and issued after the Original Issuance Date in accordance with the Articles of Incorporation that expressly ranks on a parity basis with the Series A Preferred Stock as to the dividend rights, rights of redemption or rights on the distribution of assets on any Liquidation Event. 4

Parity Stock. Parity Stock. Shall mean, with respect to shares of Voting Preferred Stock, any capital stock of the Corporation ranking on a parity with the Voting Preferred Stock, with respect to dividends, distribution in liquidation or any other preference, right or power.

Parity Stock. Shall mean, for purposes of Section 4 below, any class or series of stock of the Corporation authorized after the Initial Issue Date which is entitled to receive assets upon liquidation, dissolution or winding up of the affairs of the Corporation on a parity with the Convertible Preferred Stock without preference or priority of one over the other.

Parity Stock. Means the Series A Preferred Stock and the Series B Preferred Stock and any and all other classes or series of capital stock of the Company ranking as to distribution of assets on any liquidation of the Company on parity with the Preferred Stock.

Parity Stock.
