Partner Indebtedness

Partner Indebtedness. Shall mean any Company Indebtedness assumed or incurred in connection with a bona fide transaction with a third party which involves a license, development, or marketing agreement, establishment of a joint venture, or the purchase of assets or stock from such third party, merger with a third party, or any other similar transaction.
