Partnership Change in Control. Shall be deemed to have occurred upon one or more of the following events:(i) any Person, other than the Corporation, the General Partner or an affiliate of the Corporation or the General Partner (as determined immediately prior to such event), shall become the beneficial owner, by way of merger, acquisition, consolidation, recapitalization, reorganization or otherwise, of more than 50% of the combined voting power of the equity interests in the General Partner or the Partnership; (ii) the sale... or other disposition by either the General Partner or the Partnership of all or substantially all of the General Partner's or the Partnership's assets, respectively, in one or more transactions to any Person other than the Corporation, the General Partner, the Partnership or an affiliate thereof; (iii) a transaction resulting in a Person other than the Corporation, the General Partner or an affiliate thereof (as determined immediately prior to such event) being the sole general partner of the Partnership; or(iv) a Change in Control as defined in the MPC Severance Benefits Plan.
