Pass Through Fee

Pass Through Fee. Means, as to any Site subject to a Ground Lease, an amount equal to (a) any monthly increase in rent or other fees in excess of the amount listed in Schedule 1 or (b) any lump sum payments approved by Lessee regardless of amount approved that Lessor must pay to the owner or operator of the Property to obtain such owner's or operator's consent to a SA or CA.
