Past Bonus

Past Bonus. Shall mean, as of any date of determination, the highest Annual Bonus paid to Executive by the Company with respect to any of the three fiscal years preceding such date of determination, or with respect to any date prior to January 1, 2013, an amount equal to the greater of 25% of Base Salary or the highest Annual Bonus paid to Executive by the Company.

Past Bonus. Shall mean the amount of the most recent Annual Bonus paid to the Executive by the Company (including any amounts that may have been voluntarily or mandatorily deferred); provided, that during the twelve (12) month period commencing on a Change of Control, Past Bonus shall mean the highest Annual Bonus paid to the Executive by the Company with respect to any of the three fiscal years preceding the Change of Control.
