Payment Trigger. Any of the following that occurs during the term of this Agreement: (i) termination of the Executive's employment by the Company without Cause, at any time other than within twelve (12) months following a Change in Control, and other than as a result of the Executive's Disability; or (ii) Constructive Termination of the Executive while the Executive remains employed by the Company or its successor, or termination of the Executive's employment by the Company without Cause within twelve (12)... months following a Change in Control occurring during the term of this Agreement.
