Shall be equal to the sum of: (i) the product of (I) the number of Warrant Shares issued and still held by such Buyer and (II) the Closing Sale Price (as defined in the Warrants) on the trading day prior to the Filing Deadline, the Effectiveness Deadline or the Selling Prohibition, as applicable; (ii) the product of (I) the number of Warrant Shares issuable pursuant to the Warrants still held by such Buyer and (II) the difference (if a positive number) between the...
