Penalty Principal Amount

Penalty Principal Amount. Means, at any given time: (i) For each Note issued and outstanding at such time, the principal amount of such Note; and (ii) For each Common Share or Junior Preferred Share issued and outstanding at such time, an amount equal to the Conversion Price, as such term is defined in the Indenture.
