Pending Acquisitions. The three separate acquisitions by wholly-owned subsidiaries of the Company from the Acquisition Vendor of the Acquisition Vendor's direct and indirect equity interests in EOG, Questar and PSNC pursuant to the terms and subject to the conditions of the Acquisition Agreements.
