Per Option Payment Amount. In connection with the Unwind, on the Unwind Date, upon receipt by Dealer of the Warrants Unwind Payment (as such term is defined in the Warrants Unwind Agreement), Dealer shall make a cash payment to Counterparty in aggregate amount equal to $197.522 (the "Per Option Payment Amount"), multiplied by the Number of Options as of the Unwind Date.
