As of any date of determination: (i) if the Common Stock is registered pursuant to Section 12(b) or Section 12(g) of the Exchange Act, the Per Share Public Market Value or (ii) if the Common Stock is not then so registered, the Company Fair Market Value divided by the number of Shares Outstanding.
