Per Share Option Value. Shall mean the value of one Share of the Optioned Stock subject to a Retainer Option. For so long as the Company accounts for stock-based compensation using the intrinsic value method prescribed in Accounting Principles Board Opinion No. 25, the Per Share Option Value shall be calculated using the valuation method prescribed by Statement of Financial Accounting Standards No. 123, "Accounting for Stock-Based Compensation," and used in the footnotes to the Company's audited financial... statements that it files with the Securities and Exchange Commission. However, if the Company at any time begins to treat stock options as an expense on its books and records, the Per Share Option Value shall be calculated in accordance with the valuation method used by the Company when valuing stock options to determine the compensation expense that it records in the financial statements that it files with the Securities and Exchange Commission.
