Example Definitions of "Performance Award Amount"
Performance Award Amount. Means 10% of the Excess Shareholder Value; provided, however, that in no event shall the dollar value of the Performance Award Amount exceed the product of (x) 1,400,000 shares of Common Stock (subject to adjustment as provided in Section 11.3 of the Plan), and (y) the Fair Market Value (as defined in the Plan) on the date the Performance Award (or portion thereof) becomes vested.
