Performance Based Compensation

Performance Based Compensation. Any Option or Award that is intended to constitute "performance based compensation" within the meaning of Section 162(m)(4)(C) of the Code and the regulations promulgated thereunder.

Performance Based Compensation. Means compensation that is intended to qualify as "performance-based compensation" within the meaning of Section 162(m).

Performance Based Compensation. An Award to a person who is, or is determined by the Committee to likely become, a "covered employee" (as defined in Code Section 162(m)(3)) and that is intended to constitute "performance-based compensation" within the meaning of Code Section 162(m)(4)(C)

Performance Based Compensation. Means "remuneration payable solely on account of the attainment of one or more performance goals" as described in Section 162(m)(4)(C) of the Code.

Performance Based Compensation. Compensation that is intended to qualify as 'performance-based compensation' as described in Section 162(m)(4)(C) of the Code.

Performance Based Compensation. Compensation under an Incentive Award that is intended to satisfy the requirements of Section 162(m) of the Code for certain performance-based compensation paid to Covered Employees. Notwithstanding the foregoing, nothing in this Plan will be construed to mean that an Incentive Award which does not satisfy the requirements for performance-based compensation under Section 162(m) of the Code does not constitute performance-based compensation for other purposes, including Section 409A of the Code.

Performance Based Compensation. Any Award that, pursuant to Section 14.3, is intended to constitute performance-based compensation within the meaning of Section 162(m)

Performance Based Compensation. Performance-Based Compensation means Compensation where the amount of, or entitlement to, the Compensation is contingent on the satisfaction of pre-established organizational or individual performance criteria relating to a performance period of at least 12 consecutive months. Organizational or individual performance criteria are considered pre-established if established in writing by not later than 90 days after the commencement of the period of service to which the criteria relate, provided... that the outcome is substantially uncertain at the time the criteria are established.
