PERMITTED FAMILY TRANSFER. The term "Permitted Family Transfer" means the sale or gift (including by will or bequest or comparable disposition) of any of the Covered Shares (after such Covered Shares have become vested under Section 4) by the Participant to: (i) the Participant's spouse, or a descendant, ancestor or sibling of the Participant; (ii) a trust for the primary benefit of any one or more of the Participant or the spouse, descendants, ancestors or siblings of the Partnership;... or (iii) a partnership or limited liability company whose partners or members consist of one or more of the Participant, the spouse, descendants, ancestors or siblings of the Participant, or a trust for the primary benefit of such persons (each such person or entity being referred to herein as a "Related Person"), in each case that complies with all the provisions of the LLC Agreement and this Agreement, including, but not limited to Section 7 hereof.
