Permitted Holder

Permitted Holder. Means (i) William J. Pulte, (ii) any of his respective Affiliates, parents, spouses, descendants, and spouses of descendants, (iii) any trusts or other entities controlled by Mr. Pulte and (iv) in the event of the death or incapacity of Mr. Pulte or any of the persons referred to in clause (ii) above, their respective estates, heirs, executors, administrators or other personal representatives.

Permitted Holder. The term "Permitted Holder" shall mean (i) the Initial Holders or any entity controlled by either of the Initial Holders or any of the partners of the Initial Holders, (ii) an employee benefit plan of the Corporation or any subsidiary of the Corporation, or any participant therein, (iii) a trustee or other fiduciary holding securities under an employee benefit plan of the Corporation or any of its subsidiaries or (iv) any Permitted Transferee of any of the foregoing persons.

Permitted Holder. Means each of (i) General Motors or Hughes or, at any time after the completion of the Stock Purchase Transactions, News Corp., (ii) EchoStar, (iii) Charles W. Ergen, his spouse, children and other lineal descendants and any trust the sole beneficiaries of which are one or more of such individuals and (iv) any Subsidiary (including a Holding Company) or any other Person, directly or indirectly, Controlled by any of the foregoing.

Permitted Holder. Means Welsh, Carson, Anderson & Stowe VIII, L.P. or any of its Affiliates.

Permitted Holder. Means any of the following: (i) the Partnership, Blackstone Inc. or any of their respective Affiliates, (ii) a trustee or other fiduciary holding securities under an employee benefit plan of the Partnership or any of its Affiliates, (iii) an underwriter temporarily holding securities pursuant to an offering of such securities or (iv) a corporation owned, directly or indirectly, by the unitholders of the Partnership in substantially the same proportions as their ownership of Units.

Permitted Holder. Means Jonathan B. Fairbanks, GEC Advisors LLC, White Deer Management, LLC, and any of their respective Affiliates.

Permitted Holder. Jonathan B. Fairbanks, GEC Advisors, LLC, White Deer Energy Management, LLC, and any other partnerships, funds or other entities either controlled by such Persons or their Affiliates or for which such Persons have voting or investment control over shares of the Company's securities without other control.

Permitted Holder. Means (i) David K. Hill, Diane G. Hill, their immediate family members (as defined by the New York Stock Exchange's listing requirements) or the respective spouses and former spouses (including widows and widowers), heirs or lineal descendants of any of the foregoing; (ii) an estate, trust (including a revocable trust, declaration of trust or a voting trust), guardianship, other legal representative relationship or custodianship for the primary benefit of one or more individuals described in... clause (i) above or controlled by 2 one or more individuals described in clause (i) above; (iii) a corporation, partnership, limited liability company, foundation, charitable organization or other entity if a majority of the voting power and, if applicable, a majority of the value of the equity ownership of such corporation, partnership, limited liability company, foundation, charitable organization or other entity is directly or indirectly owned by or for the primary benefit of one or more individuals or entities described in clauses (i) or (ii) above; and (iv) a corporation, partnership, limited liability company, foundation, charitable organization or other entity controlled directly or indirectly by one or more individuals or entities described in clauses (i), (ii) or (iii) above. Permitted Holder. As of the date of determination, any and all of: (i) an employee benefit plan (or trust forming a part thereof) maintained by (A) Holdings or (B) any corporation or other Person of which a majority of its voting power of its voting equity securities or equity interest is owned, directly or indirectly, by Holdings; (ii) any current stockholders of Holdings 11 as of the date hereof; (iii) any trust or other entity created by any such current stockholder of Holdings, the... principal beneficiaries of which are such current stockholder of Holdings and/or members of his family; (iv) any spouse of such current stockholder of Holdings or any lineal descendants (whether natural or adopted) of such current stockholder of Holdings's grandparents and their spouses; (v) any personal representative of such current stockholder of Holdings or any of the Persons referred to in (iv) above acting within that capacity; and (vii) any Person who is an Affiliate of any Person referred to in (ii) through (v) above or by any combination of them. Permitted Holder. Means: (i) the Holder or the beneficiary as of the date hereof of the Holder; (ii) any member of the Immediate Family of any natural Person in clause (i), (iii) any descendant of any natural Person identified in clause (i) or (ii) or member of the Immediate Family of any such descendant; or (iv) or any other trust or other similar entity formed for the direct or indirect benefit of any natural Person identified in clauses (i) through (iii).
