Permitted Refinancing. Any refinancing of any of the Senior Debt under the applicable Senior Debt Documents
Permitted Refinancing. Means any financing or financings (but only if closed concurrently), the proceeds of which are used to pay full in cash all amounts due and owing under the Convertible Notes (as well as all of IEH's and the Trustee's reasonable and documented fees and expenses, including attorneys' fees) no later than Permitted Refinancing Deadline; provided, however, that if such financing(s) shall cause an "ownership change" of the Company (within the meaning of Section 382 of the Internal Revenue Code of... 1986, as amended, the "Code")), the proceeds shall immediately be used to fully pay the Convertible Notes prior to or concurrently with such ownership change.
