Permitted Series A Repurchase Transaction. Shall mean the following on a collective basis (with the following terms that are not defined in this Loan Agreement having the meanings set forth in the 19 Put-Call Agreement): (A) the Borrower determines to effect a repurchase transaction under its Series A Call Right; (B) such a determination may only be made for purposes of this Agreement at such time after Borrower has sold more than $3,000,000 in Borrower's Series A Preferred Stock after the date of the Put-Call Agreement and... prior to the Call Date; and (C) Borrower may only repurchase, as a maximum, such number of its Series A Preferred Stock equal to the minimum number required in Section 2.2(b) of the Put-Call Agreement; with the further understanding that Borrower may make additional repurchases under the Series A Call Right that fall outside of the limitations and restrictions set forth above if Bank provides its written consent thereto.
