Permitted Third Party Repayment Amount. An amount equal to the outstanding amount of the Subordinated Debt (including any accrued and unpaid interest, and Subordinated PIK Payments, in each case, incurred pursuant to the Subordinated Debt Documents) determined as of the date of the termination of the Merger Agreement.
