Person. Shall have the meaning as set forth in Sections 13(d) and 14(d) of the Exchange Act; provided, however, that Person shall exclude (i) the Company, (ii) Holdings, (iii) any trustee or other fiduciary holding securities under an employee benefit plan of the Company, and (iv) any corporation owned, directly or indirectly, by the shareholders of the Company or Holdings in substantially the same proportions as their ownership of stock of the Company or Holdings.
