Phase 2 Gigafactory. A manufacturing facility in Germany (the exact location of which to be determined by the VW Member in its sole discretion, after consultation with QS) oriented towards the production of QS Battery Cells to satisfy VW AG and its Affiliates' demand with an intended nominal capacity of 20 GWh/year (and a minimum capacity of 100k vehicles*100kWh/year = 10 GWh/year), with such capacity to be finally determined by the Members taking into account, inter alia, the JV Entity's debt service requirements
