Piggyback Registration Statement

Piggyback Registration Statement. Means a Registration Statement whereby a Stockholder has exercised its Piggyback Right to include Merger Shares in such Registration Statement.

Piggyback Registration Statement. Means a registration statement of the Company filed under the Securities Act which covers the resale of all of the Registrable Securities requested to be included therein pursuant to the provisions of Section 3 and all amendments and supplements to such registration statement, including post-effective amendments, in each case including the Prospectus contained therein, all exhibits thereto and all material incorporated by reference (or deemed to be incorporated by reference) therein.

Piggyback Registration Statement. 3(a)

Piggyback Registration Statement. Means any Registration Statement, if any, required to be filed pursuant to Section 2(b) hereof, including all amendments thereof (whether pre-effective or post-effective), if any.

Piggyback Registration Statement. Has the meaning set forth inSection 3(a).

Piggyback Registration Statement. 4(a)

Piggyback Registration Statement. Means a Registration Statement filed or to be filed pursuant to which the Company has received one or more written requests to participate pursuant to Section 4.
