Plan Committee

Plan Committee. Shall mean a committee of two or more directors appointed by the Board to administer the Plan.

Plan Committee. The term "Plan Committee" is defined in Section 3 of the Plan; provided, however, that the term Plan Committee will refer to the Board during such times as no Plan Committee is appointed by the Board.

Plan Committee. The committee which shall have full power and authority to administer the Plan as provided in Section 9 hereof. Prior to a Change in Control, the Plan Committee shall consist of the members of the Committee; provided, however, that any time prior to a Change in Control, the Plan Committee may designate members of the Incumbent Board (within the meaning of paragraph (b) of the definition of Change in Control set forth above) or individuals who were officers of the Company as of immediately prior... to the Change in Control ("Incumbent Members") to serve as the Plan Committee following the Change in Control.
